Gibson Guitar Announces Agreement to Make Strategic Investment in TEAC Transaction adds “Cool Japan” engineering technology and innovation to the music and audio lifestyle arena of the world’s premier musical instrument manufacturer
Tokyo, Japan / Nashville, U.S. — March 29, 2013 -- As part of its continued diversification into the music and audio lifestyle arena, Gibson Guitar Corp., (“Gibson”), the world’s premier musical instrument manufacturer, today announced an agreement to make a strategic investment into Japan’s TEAC CORPORATION (“TEAC”) (TSE: 6803), a recognized trailblazer in the audio visual industry. TEAC is one of the world’s top names in audio and visual equipment, and a leading producer of data storage equipment and related products. The transaction was unanimously approved by the Boards of Directors of both companies. Gibson has entered into an agreement, signed today, with Phoenix Capital in which two investment funds operated by Phoenix Capital have agreed to sell to Gibson all the shares they own in TEAC Corporation, or 157,447,000 shares, (54.4% of the issued and outstanding shares), at a price agreed between the parties of 31 JPY per share. As this will result in Gibson acquiring over one third of TEAC, Japan’s Financial Instruments and Exchange Law requires Gibson to undertake a tender offer process. Thus, Gibson, through a special purpose vehicle, will make an all-cash tender offer to purchase 157,447,000 shares of TEAC common stock for 31 Japanese Yen per share in cash. Gibson will purchase a maximum of 157,500,000 shares. The tender offer period is scheduled to commence on April 1, 2013 and will remain open for 21 Japanese business days. Today, TEAC’s Board of Directors issued a press release supporting the tender offer. Upon completion of the acquisition, TEAC will become a member of the Gibson family. This will not only expand the size and reach of Gibson’s Pro Audio business, with products that both complement and build upon the KRK, Cerwin-Vega!, and Stanton portfolio of world-class studio monitors, sound reinforcement equipment, and DJ gear respectively, in addition to the premium consumer electronics of strategic partner, Onkyo Corporation (“Onkyo”), but also in future product development, has the potential to add alue to the Gibson MI segments, and even with the fretted instrument category. TEAC is already widely recognized for high grade audio through its Esoteric brand, including multichannel recorders, handheld recorders, and Apple iOS devices, with growing opportunities in mixers and computer audio interfaces. Furthermore, TEAC is acknowledged as initiating the home recording revolution that changed the face of the music industry by introducing affordable multitrack recording, a technology invented by Les Paul, whose namesake Gibson uitar has established itself as the most coveted electric guitar of all time. TEAC’s product lines range from industrial data acquisition and torage, high-end audio, disc publishing, medical video, and broadcast into a broad-based consumer market through their TASCAM division. Our R&D team set the goals high; to create a speaker that could integrate in the living space, enabling listeners outside the centre “sweet spot” to also enjoy the performance. The new series was also designed to be “amplifier friendly” so it is able to work with tube and solid-state amps to recreate musical enjoyment. The new gently curved MDF cabinet architecture was made to keep some past attributes yet with an up to date modern style. It is painted and hand-polished with 6 layers of lacquer, to a high-gloss piano finish, complimented by the near acoustically transparent stylish Lotus grilles. Like the innovative cabinet concept used in the fat lady, the Octave 6 is void of internal damping. To avoid a boxy sound – new internal vertical baffle with acoustic apertures is placed in the middle to break up standing waves resulting in speaker that sounds as if there is no cabinet at all. It is absurd. The question as to which sound carrier holds the future of Surround Sound in its hand, thirteen years after its emergence, still remains open. Peterborough, Ontario March 14th, 2013 -- Bryston, LTD (www.bryston.com) has announced the introduction of a complete line of high performance loudspeakers engineered for both music and home theater applications. The line will consist of eight models including the floorstanding Model T, Middle T and mini t along with a powered subwoofer called the T sub, two center channel offerings, an in-wall and an on-wall loudspeaker. Bryston’s James Tanner has led the design initiative for the loudspeaker project, developing proprietary drivers, crossovers and enclosures while spearheading a rigorous testing regimen. The Bryston loudspeakers were born from the challenge to construct a reference quality loudspeaker that could reproduce real world dynamics while minimizing distortion and compression. The engineering team at Bryston has devoted countless hours to innovative driver design, enclosure vibration analysis, crossover refinement, anechoic chamber measurements, and blind listening tests. The first model to reach completion, the Bryston Model T, was subjected to over 200 separate anechoic measurements during the design phase to ensure the highest level of accuracy and refinement. Bryston loudspeakers have also been engineered to reproduce the most difficult dynamic transients—to play very loud passages of music or movie soundtrack information without the distortion common to competitive products. “I think we met with a degree of skepticism when we first announced the loudspeaker project—and rightfully so. The 52.5-inch tall three-way floorstanding Model T is available in three formats—the standard speaker with an internal passive crossover network, the Signature model with an external passive network that utilizes custom-made components including air-core chokes and Bryston-proprietary film capacitors, and a flagship Active version that comes with a Bryston 24-bit digital electronic crossover (instead of a passive network) enabling tri-amplification of the system. All three versions of the Model T utilize three 8-inch woofers, two 5.25-inch midranges and two 1-inch titanium dome tweeters.
The Middle T is a smaller floorstanding three-way loudspeaker utilizing two bass drivers, a midrange and a tweeter. The mini t is a smaller version of the Middle T using a single bass driver also in a three-way configuration. Both the TC1 and TC1 mini are three-way speakers providing center channel options of different sizes. The T Sub utilizes three 8-inch woofers powered by an internal 600-watt amplifier. Both architectural models—the T IW and the T OW are three-way sealed enclosure designs. Bryston loudspeakers come in three high-tech vinyl-wrapped standard finishes—Black Ash, Natural Cherry, and Boston Cherry. The Proscenium Black Diamond V (PBD V) features improvements to the air supply, record clamp and motor base assembly…and the our newest discovery! Air-bearing Platter - huge 10 inches in diameter with 3 air jets, hand lapped.
Platter and Record Clamp - The platter is machined from the most resonance-free material known. It is machined slightly smaller in diameter than a LP sothat the thicker outer lead-in grooves of the LP over hang and this allows the LP to lay flat. The label area is machined out wider and deeper than most platters.
The LP is held slightly above the platter at the spindle so when the record clamp is tightened, the record is forced flat to the platter. We have found this to sound far better than vacuum hold down. Vacuum pumps are noisy and they introduce this noise at the critical interface of the record and stylus. Plus any small vacuum leaks from the seals create a high frequency vibration that is detrimental to the music.
Black Diamond Air-bearing Arm and Spindle -
The arm is a true high-pressure (45 psi) low-flow captured linear tracking air bearing. The mono block is unique, containing eight fixed jets in a quad vent arrangement. This results in a friction-free, ultra-rigid arm bearing that is self-cleaning. The spindle and the arm are constructed of a proprietary material that is stiffer than carbon fiber. A simple adjustment sets the center of gravity correctly for any cartridge. The improvement in sound is amazing.
Fully adjustable for VTA, overhang, azimuth and damping. VTA adjustments do not affect the others. The VTA is not adjustable during play – that would compromise the sound. However, the VTA is easily adjustable. The damping is adjustable during play. Most cartridges require only a small amount of damping playing premium records; however, lesser recordings require more damping.
Arm Wiring - Sourced from a bio-medical laboratory. This is the same ultra-pure solid core silver wire with ultra pure clear .001 inch Teflon insulation that is used in medical research to connect the ear to the brain. Directionally wired and cryogenically treated for improved sound.
Remote Drive Motor - Enclosed in a matching cast crushed marble enclosure, the motor drive is mounted on Valid Points and sets on an adjustable motorbase assembly so that belt tension can be easily adjusted. The drive pulley is straight cut so that any belt material up to 5/16 of an inch may be used. Two to four millimeter 100% silk belts are supplied and preferred. The motor is wired with silver/Teflon solid core wire, with ultra premium foil, and solid capacitors by-passed with signature foil capacitors. The on/off switch is solid silver. The drive motor is an instrument grade ball bearing AC motor, and is fitted with an IEC connector so premium power cords may be used.
Reference Motor Controller - The motor controller comes with the turntable and provides the motor with noise-free, accurate speedregardless of wall power changes. It is 17.5 x 8 x 4 inches and is mounted on a six-piece Valid Points resonance control kit. You receive an additional Valid Points disc to sit on top of the motor controller. It allows for separate fine adjustments for 33 1/3 and 45 RPM. A KAB strobe is provided for precise speed setting. Speed selection is by a switch. The unit is fitted with an IEC connector so the power cord of your choice may be used.
Air Supply System – A unique, adjustable tri-air suspension. The regulated automatic air suspension system can be set for the exact resonance point of the turntable and your equipment rack to achieve maximum isolation and stability. Extremely stable and quiet.
The undertable chambers and air pods are set with a precision regulator, gauge and check valve. The air pods are coupled to the table in a way that maximizes isolation and rigidity and control resonance. The entire air supply system is very quiet and may be placed in a far corner of your room. However, we recommend it be placed in another room, if possible. Two 100-foot rolls of 1/4 OD clear flexible plastic tubing are included so the air supply can be placed anywhere up to 100 feet away.
The air supply system is in a very attractive black oak veneer box that is 24 x 15.5 x 15.5 inches, weighing approximately 70 pounds, with two external 4.5 x 24 inch round damping chambers that can be placed behind or on top of supply box. The air is fully filtered, cooled and regulated in the system and the moisture is automatically collected in a holding container.
Easy Setup The turntable requires a rigid, sturdy platform with a minimum area of 24 x 18 inches capable of supporting 245 pounds. The recommended width is 28 x 18 inches. Shipping weight of the system is approximately 390 pounds.
